[Additional context or considerations]Quick Template
Hi {{cursor}},
Quick update on quick template:
[Key information]
Let me know if you have any questions.
BestWhen to use this template
- Drafting MSAs or vendor contracts where 80% of the language repeats across deals. Pull the indemnity clause, swap names and amounts, save an hour.
- Negotiating with counterparty redlines. Have your fallback positions saved as snippets so you can paste 'our standard X clause' quickly.
- Contract review checklist when reviewing inbound contracts. Compare to your standard versions clause-by-clause.
Customize for your workflow
- Track which clauses got pushback in which deals. Annotate snippets with 'usually accepted' vs 'expect negotiation' so juniors know what's at stake.
- Keep a separate set of fallback / minimum-acceptable clauses. The version you start with isn't the version you'll sign.
Common questions
Can paralegals or non-lawyers use these templates?
For first drafts and routine deals, yes. For non-standard situations or any deal above your sign-off threshold, attorney review is required.
How do I keep clause libraries updated?
Quarterly review with whoever drafts most contracts. Anything that changed in case law or regulation should propagate to the library so it doesn't live only in one person's head.
