LIMITATION OF LIABILITY. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY [PARTY] UNDER THIS AGREEMENT DURING THE [TWELVE (12)] MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Governing law (;govlaw):

GOVERNING LAW AND JURISDICTION. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in [County], [State], and each party consents to the personal jurisdiction of such courts.

FORCE MAJEURE. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. The affected party shall promptly notify the other party of the force majeure event and shall use reasonable efforts to mitigate its effects.

TERMINATION. Either party may terminate this Agreement: (a) for convenience upon [thirty (30)] days' prior written notice to the other party; or (b) immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within [thirty (30)] days after receiving written notice thereof. Upon termination, each party shall promptly return or destroy all Confidential Information of the other party in its possession. Sections [X, Y, and Z] shall survive any termination or expiration of this Agreement.
